This document outlines the agreement between 9552-5473 Québec Inc., a legal entity running MTL Healing Space, (“MTLHS,” “we,” “us,” or “our”) and the Member (“Member,” “they,” or “their”). By joining, the Member agrees to the following terms:
MTL Healing Space is a multidisciplinary space designed by and for values-aligned practitioners committed to systemic healing, intersectionality, and collective care. We aim to provide accessible and community-rooted space for therapists, healers, practitioners and facilitators to connect, practice and thrive together.
These Terms explain the rights and responsibilities of both MTLHS and Members. These Terms are for the sole benefit of MTLHS and its Members.
All applications are reviewed and approved at MTLHS’s discretion. MTLHS may choose to decline your application if we feel that your practice or online presence may be out of alignment with our values or for any reason.
MTLHS may invite Founding Advisory Members (FAM) to review disputes or concerns regarding membership applications or removals.
MTLHS provides a community and platform for professional connection. MTLHS does not supervise, manage, or take responsibility for a Member’s business, clinical decisions, or clients.
MTLHS may update these Terms from time to time. Members will have 30 days from written notice to reject the updated terms in writing or they will be deemed accepted.
Listing a Member in the MTLHS directory does not mean MTLHS guarantees the Member’s services, qualifications, or reputation.
MTLHS may temporarily suspend access to physical or online services for:
Where reasonable, MTLHS will provide prior notice of suspension and restore services promptly after the issue is resolved.
Members operate as independent professionals and are fully responsible for their business, compliance, taxes, and client care.
Members must maintain professional liability (malpractice) insurance at their own cost and members seeking space rental from MTLHS must provide a valid Certificate of Insurance naming MTL Healing Space Inc. as an “Additional Insured.” Proof must be renewed annually. Failure to do so may result in termination.
Members are responsible for their own client forms, informed consent, privacy policies, and treatment records. MTLHS has no role in client documentation or storage.
Members using MTLHS in-person space must have a written service agreement with all clients that include a release of MTL Healing Space Inc. from liability.
Members are responsible for the content and legality of their own client agreements.
Members must ensure all information they share with MTLHS is true and up to date, including directory profiles.
Any feedback, suggestions, or ideas provided by Members regarding MTLHS services may be used freely by MTLHS for any purpose. Members agree that such feedback does not entitle them to royalties, rights, or claims.
All logos, trademarks, website materials, and business methods belong exclusively to MTLHS.
Members may identify themselves as a “Member of MTL Healing Space” on their MTLHS profile. Members may not:
By submitting materials, Members grant MTLHS permission to use them (e.g. photos, bios and events in promotions or directories) as part of providing the Services.
Members may revoke consent for MTLHS to use their name, likeness, or logo in promotional materials at any time in writing.
MTLHS will process such requests within 30 days of receiving notice.
Membership fees are listed during registration and must be paid in Canadian dollars. Fees are non-refundable except where required by Quebec law.
Membership renews automatically unless the Member cancels in writing at least 30 days before renewal. MTLHS may charge the saved payment method for renewal fees.
Late payments may be charged interest at 2% per month (24% per year).
This Agreement starts on the Effective Date and continues until ended by either party.
MTLHS may end membership immediately if:
A Member may cancel membership with 30 days’ written notice.
Upon termination of membership, MTLHS may deactivate the Member’s account and delete any data, including Member Content, in accordance with MTLHS standard business practices.
Deletion of accounts and data will generally occur within a reasonable period after termination.
If a Member continues to use MTLHS property or the MTLHS name after their membership ends, all personal belongings must be removed within three (3) days. If items are not removed in time, MTLHS may remove or dispose of them at the Member’s cost.
The obligations and rights in this Agreement that are intended to continue after the end of membership will remain in effect. This includes, but is not limited to, provisions related to:
These provisions survive termination or expiration of the Member’s membership and continue to bind the Member and MTLHS.
By becoming a Member, you acknowledge that you have read and agree to the terms of our full Privacy Policy, which is incorporated into these Terms by reference and available on our website.

MTLHS provides services “as is.” We make no guarantees about uninterrupted service, outcomes, or suitability for a specific purpose.
MTLHS is not responsible for any Member’s professional work, negligence, or interactions with clients or visitors.
MTLHS is not liable for disagreements or conflicts between Members.
Peer supervision and Skillshares are places for discussion and sharing and not clinical supervision. MTLHS is not responsible for any professional outcomes discussed there. MTLHS is not responsible for actions taken based on these sessions.
MTLHS’s total liability to a Member will not exceed the total membership fees paid in the six months before a claim. All liability limits, releases, and indemnification apply to MTLHS and its directors, officers, employees, and agents.
MTLHS is not liable for indirect losses like lost income, reputation, or opportunities.
Neither party will be liable for failure or delay in performing obligations caused by events beyond reasonable control, including but not limited to natural disasters, acts of government, strikes, labor shortages, or technical failures.
Members agree to protect and compensate MTLHS, its team, and affiliates from any claims, damages, or costs resulting from:
Members release MTLHS and its representatives from any claims, damages, or actions connected to membership or participation in MTLHS services.
This includes claims related to:
Confidential Information includes all private business, financial, or operational details shared between MTLHS and the Member.
Each party must protect and not share or misuse the other’s confidential information.
MTLHS may identify Members by name and logo in promotional materials unless a Member asks in writing to opt out.
Members agree that MTLHS may use photos, videos, or recordings from events that include the Member, without payment.
MTLHS will review a Member’s compliance (e.g., insurance certificates or redacted client forms) in compliance with Quebec privacy rules. Not cooperating with an audit is a material breach of these Terms.
Members agree to follow the MTLHS Foundations & Roots: Values, Principles, Agreements and Guidelines, which are posted on our website and updated periodically. Violating the Agreements and Guidelines is considered a breach of this Agreement.
These Terms are governed by Quebec law. Any legal disputes will be handled in Montreal, Quebec.
Members cannot transfer this Agreement to another person.
If part of this Agreement is found invalid, the rest remains in effect.
These Terms, together with the Foundation & Roots Agreement and any signed space waivers, form the full agreement between MTLHS and the Member.
