Terms of Service

Effective Date: The date the Member completes registration.

This document outlines the agreement between 9552-5473 Québec Inc., a legal entity running MTL Healing Space, (“MTLHS,” “we,” “us,” or “our”) and the Member (“Member,” “they,” or “their”). By joining, the Member agrees to the following terms:

1. Overview and Definitions

1.1 Purpose

MTL Healing Space is a multidisciplinary space designed by and for values-aligned practitioners committed to systemic healing, intersectionality, and collective care. We aim to provide accessible and community-rooted space for therapists, healers, practitioners and facilitators to connect, practice and thrive together.

These Terms explain the rights and responsibilities of both MTLHS and Members. These Terms are for the sole benefit of MTLHS and its Members.

1.2 Definitions

  • Services: All offerings provided by MTLHS, including physical and virtual spaces, directory listings, events, workshops, and related activities.
  • Member Content: Any information or materials shared by the Member with MTLHS.
  • MTLHS Property: Any physical or digital space, event, or communication channel managed by MTLHS.
  • Professional Services: Any professional or therapeutic services a Member provides to their clients.
  • Peer Supervision or Skillshare: A collaborative peer process, not formal clinical supervision.

2. Membership and Services

2.1 Membership Approval

All applications are reviewed and approved at MTLHS’s discretion. MTLHS may choose to decline your application if we feel that your practice or online presence may be out of alignment with our values or for any reason.

MTLHS may invite Founding Advisory Members (FAM) to review disputes or concerns regarding membership applications or removals.

2.2 Nature of Services

MTLHS provides a community and platform for professional connection. MTLHS does not supervise, manage, or take responsibility for a Member’s business, clinical decisions, or clients.

2.3 Notice of Changes and Acceptance by Continued Use

MTLHS may update these Terms from time to time. Members will have 30 days from written notice to reject the updated terms in writing or they will be deemed accepted.

2.4 No Guarantee

Listing a Member in the MTLHS directory does not mean MTLHS guarantees the Member’s services, qualifications, or reputation.

2.5 Operational Suspension

MTLHS may temporarily suspend access to physical or online services for:

  • Maintenance, repairs, or improvements,
  • Emergencies or safety concerns,
  • To prevent unauthorized or improper use, or
  • Non-payment of fees.

2.6 Notice of Suspension

Where reasonable, MTLHS will provide prior notice of suspension and restore services promptly after the issue is resolved.

3. Member Responsibilities

3.1 Independent Practice

Members operate as independent professionals and are fully responsible for their business, compliance, taxes, and client care.

3.2 Insurance

Members must maintain professional liability (malpractice) insurance at their own cost and members seeking space rental from MTLHS must provide a valid Certificate of Insurance naming MTL Healing Space Inc. as an “Additional Insured.” Proof must be renewed annually. Failure to do so may result in termination.

3.3 Professional Documentation

Members are responsible for their own client forms, informed consent, privacy policies, and treatment records. MTLHS has no role in client documentation or storage.

3.4 Client Agreement Requirement

Members using MTLHS in-person space must have a written service agreement with all clients that include a release of MTL Healing Space Inc. from liability.

  • (e.g. “I understand that the services I receive from X are under the sole responsibility of X, and that Mtl Healing Space is not supervising or endorsing those services, and cannot be held liable in case of harm endured related to these services")

Members are responsible for the content and legality of their own client agreements.

3.5 Accurate Information

Members must ensure all information they share with MTLHS is true and up to date, including directory profiles.

3.6 Use of Feedback

Any feedback, suggestions, or ideas provided by Members regarding MTLHS services may be used freely by MTLHS for any purpose. Members agree that such feedback does not entitle them to royalties, rights, or claims.

4. Intellectual Property

4.1 MTLHS Property

All logos, trademarks, website materials, and business methods belong exclusively to MTLHS.

4.2 Use of Brand

Members may identify themselves as a “Member of MTL Healing Space” on their MTLHS profile. Members may not:

  • Use the MTLHS name or logo for marketing without written permission,
  • Imply an endorsement or partnership with MTLHS without explicit permission
  • Register domain names or social handles using “MTL Healing Space” or similar wording.

4.3 Member Content

By submitting materials, Members grant MTLHS permission to use them (e.g. photos, bios and events in promotions or directories) as part of providing the Services.

4.4 Revocation

Members may revoke consent for MTLHS to use their name, likeness, or logo in promotional materials at any time in writing.

4.5 Processing Timeline

MTLHS will process such requests within 30 days of receiving notice.

5. Payments

5.1 Fees

Membership fees are listed during registration and must be paid in Canadian dollars. Fees are non-refundable except where required by Quebec law.

5.2 Automatic Renewal

Membership renews automatically unless the Member cancels in writing at least 30 days before renewal. MTLHS may charge the saved payment method for renewal fees.

5.3 Late Payments

Late payments may be charged interest at 2% per month (24% per year).

6. Term and Termination

6.1 Term

This Agreement starts on the Effective Date and continues until ended by either party.

6.2 Termination by MTLHS

MTLHS may end membership immediately if:

  • The Member violates this Agreement or MTLHS Foundations & Roots Agreement,
  • The Member, their clients or guests behave in a disruptive, threatening or unsafe way,
  • The Member fails to maintain insurance or licensing,
  • The Member provides false information, or
  • The Member acts in a way that harms MTLHS’s reputation or peace.

6.3 Termination by Member

A Member may cancel membership with 30 days’ written notice.

6.4 Automatic Removal

Upon termination of membership, MTLHS may deactivate the Member’s account and delete any data, including Member Content, in accordance with MTLHS standard business practices.

6.5 Timeline

Deletion of accounts and data will generally occur within a reasonable period after termination.

6.6 Holdover

If a Member continues to use MTLHS property or the MTLHS name after their membership ends, all personal belongings must be removed within three (3) days. If items are not removed in time, MTLHS may remove or dispose of them at the Member’s cost.

  • The Member may also be charged up to three times the monthly membership fee for each month (or part of a month) they remain in the space beyond the three-day period.

6.7 Survival

The obligations and rights in this Agreement that are intended to continue after the end of membership will remain in effect. This includes, but is not limited to, provisions related to:

  • Confidentiality,
  • Liability and releases,
  • Indemnification, and
  • Payment obligations.

These provisions survive termination or expiration of the Member’s membership and continue to bind the Member and MTLHS.

7. Privacy and Use of Personal Information

7.1 Acknowledgement of Policy

By becoming a Member, you acknowledge that you have read and agree to the terms of our full Privacy Policy, which is incorporated into these Terms by reference and available on our website.

7.2 Key Practices

You understand and consent that:

  • We collect your personal and professional information (e.g., name, contact details, insurance, bio) to administer your membership, verify your credentials, and include you in our member directory.
  • Your public profile information (name, bio) will be visible to others in our public directory unless you request otherwise in writing.
  • We will use your contact information to communicate essential service updates, policy changes, and community news.
  • We use trusted third-party services (e.g., for payment processing and email) that may store your data under strict confidentiality agreements.

7.3 Your Rights

8. Disclaimers and Limits of Liability

8.1 General Disclaimer

MTLHS provides services “as is.” We make no guarantees about uninterrupted service, outcomes, or suitability for a specific purpose.

8.2 No Responsibility for Member Actions

MTLHS is not responsible for any Member’s professional work, negligence, or interactions with clients or visitors.

8.3 No Responsibility for Disputes

MTLHS is not liable for disagreements or conflicts between Members.

8.4 Peer Supervision Disclaimer

Peer supervision and Skillshares are places for discussion and sharing and not clinical supervision. MTLHS is not responsible for any professional outcomes discussed there. MTLHS is not responsible for actions taken based on these sessions.

8.5 Limit on Liability

MTLHS’s total liability to a Member will not exceed the total membership fees paid in the six months before a claim. All liability limits, releases, and indemnification apply to MTLHS and its directors, officers, employees, and agents.

8.6 No Consequential Damages

MTLHS is not liable for indirect losses like lost income, reputation, or opportunities.

8.8 Non-Liability

Neither party will be liable for failure or delay in performing obligations caused by events beyond reasonable control, including but not limited to natural disasters, acts of government, strikes, labor shortages, or technical failures.

9. Indemnification

9.1 Member’s Responsibility

Members agree to protect and compensate MTLHS, its team, and affiliates from any claims, damages, or costs resulting from:

  • Breach of these Terms by the Member, their clients, or any of their visitorsThe Member’s professional services or misconduct,
  • Violations of others’ rights, or
  • Failure to maintain insurance or licenses.
  • Legal costs, settlement amounts, and defense expenses

10. Release of Claims

10.1 General Release

Members release MTLHS and its representatives from any claims, damages, or actions connected to membership or participation in MTLHS services.

10.2 Specific Release

This includes claims related to:

  • Interactions with other Members, their clients, or visitors
  • Membership approval or termination decisions,
  • Use of MTLHS resources or information.

11. Confidentiality

11.1 Definition

Confidential Information includes all private business, financial, or operational details shared between MTLHS and the Member.

11.2 Obligation

Each party must protect and not share or misuse the other’s confidential information.

12. Publicity and Media

12.1 Public Listing

MTLHS may identify Members by name and logo in promotional materials unless a Member asks in writing to opt out.

12.2 Media Use

Members agree that MTLHS may use photos, videos, or recordings from events that include the Member, without payment.

13. Audits

13.1 Right to Review

MTLHS will review a Member’s compliance (e.g., insurance certificates or redacted client forms) in compliance with Quebec privacy rules. Not cooperating with an audit is a material breach of these Terms.

14. MTLHS Foundations & Roots

14.1 Compliance

Members agree to follow the MTLHS Foundations & Roots: Values, Principles, Agreements and Guidelines, which are posted on our website and updated periodically. Violating the Agreements and Guidelines is considered a breach of this Agreement.

15. General Terms

15.1 Governing Law

These Terms are governed by Quebec law. Any legal disputes will be handled in Montreal, Quebec.

15.2 Assignment

Members cannot transfer this Agreement to another person.

15.3 Severability

If part of this Agreement is found invalid, the rest remains in effect.

15.4 Entire Agreement

These Terms, together with the Foundation & Roots Agreement and any signed space waivers, form the full agreement between MTLHS and the Member.

15.6 Notices

Official notices to MTLHS must be sent to hello@mtlhealingspace.com. MTLHS will send notices to the Member’s listed contact.
