Space Rental
Terms of Service

Effective Date: The date the Renter completes registration.

This document outlines the agreement between 9552-5473 Québec Inc., a legal entity running MTL Healing Space, (“MTLHS,” “we,” “us,” or “our”) and the Renter (“Renter,” “they,” or “their”). By joining, the Renter agrees to the following terms:

1. Terms & Usage

1.1 This Agreement grants Renter a single-use license to use the specified space at MTLHS on the date and time of application acceptance.

1.2 Your rental time is meant to include  enough time for your setup and cleanup. Renter must vacate premises by the end time specified.

1.3 Renter may only use the space for the purpose declared in application form.

2. Renter Qualifications & Insurance

2.1 Renter represents and warrants they maintain, if offering professional services:

  • An active professional license in good standing with their relevant governing body
  • Professional liability insurance with minimum $1,000,000 coverage
  • All other required credentials for their declared practice

2.2 Renter must provide proof of insurance upon request.

3. Payment Terms

3.1 Full payment is required before access is granted.

3.2 No refunds for cancellation with less than 24 hours notice.

3.3 Late departure may incur additional charges in the case that late departure causes a conflict with the following user of the space or if it generates costs (like extending working hours of MTLHS staff).  These charges may be:

  • a 2x charge of the hourly rate for the extra time used.
  • An administrative fee corresponding to the time dedicated to adapt booking schedules and the other consequences of late departure, at an hourly rate of 50$ (hours being non-divisible).

3.4 In case of cancellation by MTLHS for reasons within its control, a full refund will be provided.

4. Renter Responsibilities

4.1 Space Condition: Renter must leave space in the same or better condition than found.

4.2 Supplies: Renter must provide their own specialized equipment and materials needed.

4.3 Client Management: Renter is responsible for all client interactions, intake forms, and consent forms

4.4 Damage: Renter is financially liable for any damage to the premises including furniture, supplies and equipment beyond normal wear and tear.

4.5 Security: Renter must ensure doors are properly locked when departing.

4.6 Compliance: renter must adhere to all building rules and professional standards.

4.7 Handbook: Renter must abide by the MTLHS Facility Handbook provided

5. MTLHS Provides

5.1 Access to designated room during rental period

5.2 Basic furniture (e.g. chairs, table, etc)

5.3 Shared bathroom facilities

5.4 WiFi access (best effort basis - no guarantee of service)

5.5 Kitchen access (e.g. water, cutlery, fridge, etc.)

6. Indemnification

6.1 Assumption of Risk: Renter acknowledges that use of the premises involves inherent risks and assumes all responsibility for themselves, their clients, and their property.

6.2 Release of Claims: Renter, on behalf of themselves and their heirs, executors, and assigns, hereby releases, waives, and discharges MTL Healing Space, its directors, officers, employees, and agents (the "Released Parties") from any and all claims, demands, or causes of action whatsoever arising out of or related to any loss or damage that may be sustained by Renter, their guests, clients or related parties while using the premises.

6.3 Indemnification: Renter agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

  • Renter's use of the premises
  • Renter's professional services
  • Actions of Renter's clients or guests
  • Any breach of this Agreement

7. Prohibited Activities

Renter shall not:

  • Use space for any purpose other than declared in MTLHS Space Rental Form
  • Allow unauthorized persons to access the space or bathrooms
  • Use candles, or open flames
  • Make structural alterations to space
  • Disturb other building occupants
  • Engage in illegal or unethical activities
  • Use of alcohol or recreational drugs on premises

8. Cancellation & Terms

8.1 MTLHS may terminate this Agreement immediately if:

  • Renter violates MTLHS Space Rental agreement
  • Renter violates MTLHS Foundation & Roots Agreement
  • Emergency situation requires closure
  • Renter provides false information

9. General Terms

9.1 Governing Law: These Terms are governed by Quebec law. Any legal disputes will be handled in Montreal, Quebec.

9.2 Assignment: Renters cannot transfer this Agreement to another person. MTLHS may assign it if needed.

9.3 Severability: If part of this Agreement is found invalid, the rest remains in effect.

9.4 Entire Agreement: These Terms, together with the Foundations & Roots Agreement and any signed physical space waivers, form the full agreement between MTLHS and the Renter.

9.5 Amendments: Changes to this Agreement must be made in writing. If amended by MTLHS, Renter will have 30 days from notice to reject the updated terms in writing or they will be deemed accepted.
